Purpose: This Gunthastic AB NFT License Agreement (this “Agreement”) governs the rights in Artwork associated with the Gunthastic AB NFTs (as defined below).
Agreement Acceptance: By purchasing or receiving any Gunthastic AB NFT, you agree to be bound by this Agreement.
Scope: This Agreement does not govern transactions on the Ethereum blockchain or related technologies, which are subject to third-party terms unless those conflict with this Agreement.
Definitions
“Artwork” refers to the original artwork minted as a Gunthastic AB NFT.
“Gunthastic AB NFT” is a unique Ethereum blockchain-tracked, non-fungible token serving as a digital collectible, originally offered by Gunthastic AB.
“Own” or “Owned” refers to a Gunthastic AB NFT that you have purchased directly from Gunthastic AB or from a legitimate owner on an Approved Marketplace.
“Approved Marketplace” refers to specific marketplaces authorized by Gunthastic AB, such as OpenSea.
2. License
Gunthastic AB grants you a non-exclusive, personal, limited license to display the Artwork associated with your Owned Gunthastic AB NFT(s) for personal, non-commercial purposes.
3. Restrictions
You may not modify, use for commercial purposes, or engage in any activity with the Artwork that violates laws, regulations, or the rights of others without Gunthastic AB’s written consent.
4. Ownership
Gunthastic AB or its licensors retain all rights in the Artwork and associated intellectual property. Your rights are limited to those expressly stated in this Agreement.
5. License Term
The license is valid as long as you Own the applicable Gunthastic AB NFT. Transferring the NFT transfers the license. Destroying or improperly transferring the NFT terminates the license.
6. Indemnification
You agree to defend and indemnify Gunthastic AB against claims arising from your breach of this Agreement.
7. Limitation of Liability
Gunthastic AB’s liability is limited to net revenues from transactions involving your Gunthastic AB NFT. Gunthastic AB is not liable for issues accessing the Artwork due to third-party platform issues.
8. Assignment
Gunthastic AB may assign this Agreement. You may transfer your rights only to a new owner of the NFT.
9. Dispute Resolution
This Agreement is governed by the laws of the jurisdiction where Gunthastic AB is based. Disputes must be resolved in the courts of that jurisdiction.
10. Remedies
Remedies for breach of this Agreement are limited to monetary damages.
11. Miscellaneous
This Agreement is the complete agreement between you and Gunthastic AB regarding the Artwork. Any modification must be in writing.
